Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of AscendRN (the "Service"), operated by S&C Digital Management LLC ("we," "us," or "our"), a Kentucky limited liability company. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

AscendRN provides educational content for nurses, nursing students, and others interested in nursing topics. The Service includes lessons, practice questions, knowledge assessments, and related educational materials. The Service is intended for educational and informational purposes only.

The Service is not a substitute for professional medical advice, formal nursing education, clinical training, supervised practice, or licensed healthcare expertise. See our Medical Disclaimer for important limitations.

3. Account Eligibility and Responsibility

You must be at least 13 years old to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate registration information and to keep it current. You may not share your account, sell access, or impersonate another person.

4. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to the Service or its systems; (c) reverse engineer, scrape, or systematically harvest content from the Service; (d) submit content that is harmful, defamatory, infringing, or illegal; (e) interfere with the operation of the Service; (f) use automated tools to overload the Service or generate excessive AI-generated content requests; (g) republish, redistribute, or commercially exploit our content without written permission.

5. Free and Paid Features

The Service currently offers educational content at no cost. We reserve the right to introduce paid features, subscriptions, or premium tiers in the future. If we introduce paid features, the specific terms (pricing, billing cycle, refund policy, cancellation) will be presented at the time of purchase and will become part of these Terms with respect to those purchases.

We may modify, suspend, or discontinue features (free or paid) at any time. We will provide reasonable notice for material changes affecting paid features.

6. Intellectual Property

All content in the Service, including text, graphics, code, design, and the AscendRN name and logo, is owned by S&C Digital Management LLC or licensed to us. You receive a limited, non-exclusive, non-transferable license to access and use the Service for your personal, non-commercial educational purposes. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.

7. AI-Generated Content

The Service uses artificial intelligence (provided by Anthropic and other vendors) to generate practice questions and certain educational content. AI-generated content may contain errors, inaccuracies, or outdated information. Do not rely on AI-generated content as a sole source of clinical or medical information. Always verify critical information against authoritative sources and current professional practice standards.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We disclaim all warranties including merchantability, fitness for a particular purpose, accuracy, completeness, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that content is accurate or current.

9. Limitation of Liability

To the maximum extent permitted by law, S&C Digital Management LLC and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, arising from your use of or inability to use the Service. Our total aggregate liability for any claims arising from these Terms or the Service shall not exceed the greater of $100 USD or the amount you paid us in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless S&C Digital Management LLC and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

11. Termination

We may suspend or terminate your account at any time for violation of these Terms, suspected fraudulent activity, legal compliance reasons, or in our reasonable discretion. You may terminate your account at any time by contacting us. Upon termination, your right to access the Service ends immediately, but provisions that by their nature should survive termination will continue to apply.

12. Changes to These Terms

We may update these Terms periodically. Material changes will be communicated via email or in-app notification. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. The "Effective" date at the top of this document indicates when the current version took effect.

13. Governing Law and Disputes

These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict of laws principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Kentucky, and you consent to the personal jurisdiction of those courts.
